DHUMALL AFFILIATE AGREEMENT

This Affiliate Agreement (“Agreement”) governs your participation in the DhuMall Affiliate Program. By registering and participating, you (“Affiliate”) agree to comply with the terms and conditions set forth below. “DhuMall” refers to the platform operated under DhuMall Sdn. Bhd. (202101033607) (1433907-A), with its principal office in Malaysia.

1. PURPOSE

DhuMall is an online platform offering a wide range of products and services. As an Affiliate, you agree to promote DhuMall’s offerings through lawful and ethical marketing efforts. You may earn commissions not only from successful referrals tracked via your unique referral link but also from direct sales of DhuMall’s products and services made through your efforts, as permitted and recorded by the Company.

2. ENROLLMENT

Enrollment in the Affiliate Program is subject to DhuMall’s approval. We reserve the right to accept or reject any application at our sole discretion and without obligation to provide reasoning.

3. AFFILIATE RESPONSIBILITIES

As an Affiliate, you agree to:

• Promote DhuMall in a professional, ethical, and lawful manner;
• Use only the official marketing tools and links provided by DhuMall;
• Avoid making any misleading, untrue, or exaggerated claims regarding DhuMall;
• Comply with all applicable laws, including those related to marketing, data protection, and advertising.

4. COMMISSIONS

• You will earn commissions for each eligible and successful sale or lead generated through your unique referral link, as detailed in the Affiliate Dashboard.
• In addition to referral-based commissions, you may also earn retail profit from the direct sale of DhuMall’s products and services, as specified and recorded by the Company.
• Commission rates, structures, and payment thresholds may change at any time at DhuMall’s discretion, with notice provided via email or platform updates.
• Payments are processed monthly, within 15 business days following the end of each calendar month, provided your earnings meet the minimum payout threshold of USD50 or MYR equivalent.

4.1 Currency of Payment:

• Malaysian Affiliates: Paid in Malaysian Ringgit (MYR) to a local bank account.
• International Affiliates: Paid in United States Dollars (USD) via an approved method (e.g., PayPal or bank transfer).

Currency conversions, if applicable, will use the prevailing exchange rate at the time of payment and may be subject to transfer or conversion fees, which shall be borne solely by the Affiliate.

5. TRACKING AND REPORTING

You will be provided with access to a personalized Affiliate Dashboard for tracking clicks, conversions, and commissions. The accuracy of tracking data shall be determined solely by DhuMall’s internal systems.

6. INTELLECTUAL PROPERTY

All logos, materials, brand elements, and content provided by DhuMall remain the exclusive property of DhuMall. Affiliates are granted a non-exclusive, revocable license to use such materials solely to promote DhuMall.

7. TERM AND TERMINATION

• This Agreement is effective upon acceptance and continues until terminated.
• Either party may terminate this Agreement at any time, with or without cause, by providing notice via email or through the platform.
• DhuMall may suspend or terminate your account for breach of terms, unethical behavior, or misuse of the platform.

8. CONFIDENTIALITY

You agree to keep confidential any non-public information received through your involvement in the Affiliate Program, including but not limited to commission rates, user data, and internal strategies.

9. DISCLAIMER & LIMITATION OF LIABILITY

9.1 DhuMall makes no warranties regarding the operation, availability, or performance of the Affiliate Program, including tracking, data accuracy, or uptime.

9.2 To the fullest extent permitted by law, DhuMall expressly disclaims all liability for any damages, losses, or claims arising out of or in connection with your participation in the Affiliate Program. This includes but is not limited to indirect, incidental, special, consequential, or punitive damages.

9.3 You agree that DhuMall’s total aggregate liability, whether in contract, tort, or otherwise, shall not exceed USD100 under any circumstances.

10. INDEPENDENT RELATIONSHIP

Nothing in this Agreement creates any employment, agency, partnership, or joint venture relationship. You participate as an independent contractor and are solely responsible for your own business operations, taxes, and legal obligations.

11. GOVERNING LAW

This Agreement shall be governed by the laws of Malaysia, and any disputes shall be subject to the exclusive jurisdiction of the courts located in Malaysia.

12. ENTIRE AGREEMENT

This Agreement constitutes the complete understanding between you and DhuMall and supersedes all previous communications, agreements, or understandings.

13. FORCE MAJEURE

Neither party shall be held liable for any failure or delay in performance under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, pandemics, power or internet failures, or any other force majeure event. Obligations affected by such events shall be suspended for the duration of the event, provided that the affected party notifies the other party as soon as reasonably possible.

14. AMENDMENTS TO THE AGREEMENT

DhuMall reserves the right to modify, update, or amend the terms of this Affiliate Agreement at any time at its sole discretion. Any such changes will be effective immediately upon posting on the DhuMall website or notifying you via email or your Affiliate Dashboard. Your continued participation in the Affiliate Program after such changes constitutes your acceptance of the updated terms.
